01Description of Services

NKX Systems designs and implements business operating systems for clients, which may include:

• AI agents for lead qualification, customer conversations, scheduling, follow-up, and internal workflows
• Business process automation connecting existing software and platforms
• CRM and revenue system design, build-out, and management
• AI voice and conversational systems
• Systems integration across CRM, communication, data, and AI platforms
• Custom intelligent systems, including internal assistants, dashboards, and multi-agent workflows

The specific scope, deliverables, timeline, and fees for any engagement are defined in a separate written proposal, statement of work, or service agreement ("SOW"). Where these Terms conflict with a signed SOW, the SOW controls for that engagement.

02Engagements & Scope of Work

A "Systems Audit" or discovery call is a preliminary, non-binding conversation to assess fit and is not itself an engagement of Services. A binding engagement begins only once both parties sign an SOW or service agreement. Any change to scope after an SOW is signed must be agreed to in writing (including email) and may affect fees and timeline.

03Fees & Payment

Fees, payment schedule, and invoicing terms are set out in the applicable SOW. Unless otherwise stated, invoices are due within fifteen (15) days of receipt. Late payments may result in suspension of services or work in progress until the account is brought current. Fees for build and implementation work are generally non-refundable once work has commenced, except as expressly stated in the SOW.

04Client Responsibilities

To deliver the Services, NKX Systems typically requires the Client to provide timely access to relevant accounts, platforms, data, and personnel, and to review and approve deliverables within agreed timeframes. Delays in providing access, information, or approvals may delay delivery timelines accordingly. The Client is responsible for the accuracy of the business information, data, and content it provides for use in any system NKX Systems builds.

05Third-Party Platforms & Services

NKX Systems' work frequently runs on or integrates with third-party platforms — including but not limited to CRM platforms such as GoHighLevel, AI model providers, telephony and voice AI providers, and other software the Client already uses or elects to adopt. These platforms are governed by their own terms of service, pricing, and privacy policies, which the Client is responsible for reviewing and accepting directly with the applicable provider. NKX Systems is not responsible for outages, pricing changes, feature changes, data loss, or policy changes made by third-party platforms, and does not guarantee the uptime or availability of any third-party service integrated into a Client's system.

06AI & Automation Disclaimer

Systems built by NKX Systems may incorporate artificial intelligence, large language models, and automated decision-making. AI-generated outputs — including conversational responses, lead qualification, scheduling, and content — can be inaccurate, incomplete, or inappropriate in a given context, and are not a substitute for human review in situations that require it. NKX Systems designs systems with human oversight points where appropriate, but the Client is responsible for monitoring live systems, reviewing AI outputs where consequential, and maintaining appropriate human checkpoints in its own operations.

No outcome guarantee. NKX Systems does not guarantee specific business results — including lead volume, conversion rates, revenue, cost savings, or return on investment — from any automation, AI agent, or system. Results depend on factors outside our control, including the Client's existing operations, market conditions, adoption, and data quality. Nothing on the NKX Systems website or in any proposal is investment advice or an offer relating to securities.

07Intellectual Property

The Client retains ownership of its own business data, content, and brand assets provided to NKX Systems. Unless otherwise agreed in an SOW, NKX Systems retains ownership of its pre-existing methodologies, frameworks, templates, prompt libraries, and reusable automation components ("NKX IP"), and grants the Client a non-exclusive, non-transferable license to use any NKX IP incorporated into the Client's delivered system for the Client's own internal business operations. NKX Systems may reference the existence and general nature of a completed engagement (e.g., in a portfolio or case study) unless the SOW or a signed confidentiality agreement says otherwise.

08Confidentiality

Each party agrees to keep confidential any non-public business, technical, or customer information disclosed by the other party in connection with an engagement, and to use it only to perform its obligations under these Terms and the applicable SOW. This obligation survives termination of an engagement.

09Data & Privacy

Our collection and use of personal information through this website is described in our Privacy Policy. Where NKX Systems processes Client customer or lead data on the Client's behalf as part of a delivered system, the parties will agree on appropriate data handling terms in the applicable SOW, and the Client remains responsible for having a lawful basis to collect and share that data with NKX Systems and the third-party platforms used to run the Client's system.

10Acceptable Use

You agree not to use this website or any NKX Systems-built system to: violate any law or third-party right; transmit spam, malware, or unsolicited communications; attempt to gain unauthorized access to any NKX Systems or third-party system; or use AI agents or automation built by NKX Systems for deceptive, harassing, or fraudulent communications.

11Disclaimers

The website and general information on it are provided "as is" without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Any warranties applicable to delivered Services are limited to those expressly stated in the applicable SOW.

12Limitation of Liability

To the maximum extent permitted by law, NKX Systems and its owners, contractors, and personnel will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or related to the website or the Services, even if advised of the possibility of such damages. NKX Systems' total aggregate liability for any claim arising out of an engagement will not exceed the total fees paid by the Client to NKX Systems for the Services giving rise to the claim in the twelve (12) months preceding the claim.

13Indemnification

You agree to indemnify and hold NKX Systems harmless from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your misuse of the website or the Services, your violation of these Terms, or your violation of any applicable law or third-party right.

14Term & Termination

These Terms apply for as long as you use the website. Any specific engagement's term, renewal, and termination provisions are set out in its SOW. NKX Systems may suspend or terminate access to the website for conduct that violates these Terms.

15Governing Law

These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law principles, unless a signed SOW states otherwise. Any dispute not resolved informally will be subject to the exclusive jurisdiction of the state and federal courts located in New Jersey.

16Changes to These Terms

We may update these Terms from time to time. The "Last updated" date above reflects the most recent revision. Continued use of the website after changes are posted constitutes acceptance of the revised Terms.
